Publisher Terms & Conditions

These Publisher Terms & Conditions govern the contractual relationship between publishers using the cyteclick platform and Digital Media Group OÜ.

1. Parties and scope

cyteclick is a platform and brand operated by Digital Media Group OÜ, Sepapaja 6, Tallinn 15551, Estonia, Registry No. 16363874, VAT ID EE102435340 ("cyteclick", "we").

These Publisher Terms & Conditions (the "Terms") govern the contractual relationship between Digital Media Group OÜ and each publisher that registers for and uses the cyteclick affiliate sub-network platform (the "Publisher").

cyteclick provides publishers with access to affiliate programs of advertisers, which cyteclick sources through upstream affiliate networks and other partners. cyteclick operates as an intermediary between these upstream sources and the Publisher.

2. Publisher registration and program applications

Publishers may register for cyteclick and apply to individual affiliate programs. Registration does not create an automatic right to participate in every program.

cyteclick may approve or reject publisher accounts, websites and program applications based on compliance, advertiser requirements, upstream network requirements, quality, fraud risk and other legitimate operational considerations.

Publishers must provide accurate and current account, company, website and payment information and keep that information up to date.

3. Program-specific rules

Each affiliate program may have additional advertiser-specific or upstream-network-specific rules, which are made available in the program details.

Program-specific rules take precedence over the general traffic permissions in these Terms where they are more restrictive.

Publishers are responsible for reviewing and complying with the applicable program rules before promoting a program.

4. Permitted traffic

Unless the individual program states otherwise, the following traffic methods are generally permitted: PPC / paid search / SEA; social media; display advertising; email marketing; cashback; coupon/voucher traffic; incentive traffic; content/editorial traffic; comparison/shopping traffic; and other legitimate promotional methods.

Permission under these general Terms does not override restrictions imposed by an individual advertiser or affiliate program.

Publishers must comply with applicable laws, advertising rules, privacy requirements, anti-spam requirements and platform policies when generating traffic.

5. Brand bidding and paid search

Brand bidding, trademark bidding, direct linking and the use of advertiser trademarks in paid-search advertisements are prohibited unless expressly permitted by the applicable advertiser or program rules. Where an advertiser explicitly permits such activity, the advertiser's program rules apply.

Publishers may not impersonate an advertiser or create misleading advertisements, domains, social-media profiles or landing pages suggesting that they are the advertiser.

6. Sub-publishers

Publishers may use sub-publishers. The primary cyteclick publisher remains fully responsible for all traffic, promotional activity and compliance of its sub-publishers.

The publisher must be able to identify its sub-publishers to cyteclick when reasonably requested for compliance, advertiser or network inquiries, fraud investigation or transaction validation.

A publisher may not use sub-publishers to circumvent program restrictions, suspensions, rejection decisions or other cyteclick rules.

cyteclick may prohibit individual sub-publishers or traffic sources where required for compliance, fraud prevention, advertiser requirements or upstream network requirements.

7. Tracking and attribution

Publishers must use the tracking links and tracking methods provided or authorized by cyteclick.

Commission entitlement depends on successful attribution and validation of the relevant transaction.

cyteclick's records and the applicable advertiser or upstream network validation data are used to determine transaction status, subject to correction of demonstrable technical or accounting errors.

Publishers must not manipulate tracking, attribution, click IDs, SubIDs, conversion information or other tracking parameters.

8. Commissions and validation

A tracked conversion is initially provisional. A commission becomes payable only after the transaction has been validated and approved by the applicable advertiser or upstream affiliate network and the corresponding funds have been received by Digital Media Group OÜ from the advertiser or upstream network.

Pending, unvalidated or unpaid upstream commissions do not constitute a final payable publisher balance.

If an advertiser or upstream network rejects, cancels, reverses or adjusts a transaction, the corresponding publisher commission may also be rejected, cancelled, reversed or adjusted.

No commission is payable for fraudulent, invalid, cancelled, returned, duplicated, manipulated or otherwise ineligible transactions.

9. Commission rates and program changes

Commission rates, program availability and program-specific conditions may change. This may occur in particular when an advertiser or upstream affiliate network changes its commission rates, terms, tracking arrangements or program availability. cyteclick may reflect such changes in the relevant program.

Changes apply prospectively where reasonably possible. This does not prevent later validation, rejection, reversal or adjustment of previously tracked transactions by an advertiser or upstream network, or in cases of fraud, tracking correction or demonstrable error.

10. Payments

Publisher payouts are processed monthly. The minimum payout threshold is €100.

A payout is due only for validated commissions for which Digital Media Group OÜ has received the corresponding payment from the applicable advertiser or upstream affiliate network.

If the payable balance is below €100, it is carried forward to subsequent payment periods until the threshold is reached.

Amounts that remain pending, disputed, unvalidated, reversed or unpaid by the advertiser or upstream network are not included in the payable balance.

Publishers are responsible for providing accurate payment and billing information.

11. Fraud and prohibited conduct

The following practices are prohibited: cookie stuffing; forced clicks; fake clicks; bot or automated traffic intended to generate artificial activity; fake leads, registrations or orders; self-generated transactions where prohibited by the relevant program; transaction manipulation; attribution hijacking; unauthorized injection or overwriting of affiliate identifiers; misleading redirects; spam; deceptive advertising; impersonation; unauthorized trademark use; manipulation of tracking parameters; deliberate generation of invalid or non-genuine conversions; and circumvention of advertiser or program restrictions.

This prohibition targets artificial, deceptive or commission-generating manipulation. It does not categorically prohibit legitimate automation or ordinary technical traffic.

12. Fraud investigation and withholding

cyteclick may investigate suspicious traffic or transactions. During a reasonable investigation, affected commissions or payouts may be temporarily withheld.

If fraud, manipulation or material program violations are confirmed, cyteclick may reject or reverse the affected commissions, suspend or terminate the publisher or program relationship, and take reasonable measures to protect advertisers, networks and the platform.

cyteclick will not withhold legitimately earned and validated commissions without cause.

13. Compliance

Publishers are responsible for complying with applicable advertising and consumer-protection laws, privacy and data-protection laws, electronic-marketing and anti-spam requirements, intellectual-property and trademark rules, platform-specific advertising policies, and advertiser or program rules.

Publishers must have the necessary legal basis and permissions for their own collection and use of personal data.

14. Account suspension and termination

cyteclick may suspend access to programs or publisher accounts for material breaches, suspected fraud, security issues, advertiser or network requirements, legal or compliance risks, or other legitimate reasons. Where appropriate and reasonably possible, publishers will be informed of the reason.

Termination does not automatically eliminate legitimate validated commissions earned before termination, subject to transaction validation, fraud investigation, reversals, upstream payment and these Terms.

15. Limitation of guarantees and liability

cyteclick does not guarantee the continuous availability of any advertiser or program, specific commission levels, specific earnings, uninterrupted tracking, or the continued participation of any advertiser or upstream network.

Tracking, reporting and program availability depend in part on third-party systems and upstream affiliate networks. Technical interruptions of such third-party systems may affect tracking or reporting; cyteclick will take reasonable measures to restore correct operation and correct demonstrable errors.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for intent and gross negligence and liability under mandatory statutory provisions.

16. Changes to these Publisher Terms

cyteclick may update these Terms when reasonably necessary for legal, technical, security, operational, advertiser or upstream-network reasons.

Material changes receive a new document version. Acceptance of one version of these Terms is not treated as acceptance of a materially different future version.

For a material new version, cyteclick may require existing publishers to review and accept the new version before continuing relevant use of the service. Each acceptance is recorded with its document version and time.

17. Governing law and disputes

cyteclick is operated by Digital Media Group OÜ, a company registered in Estonia. The specific governing-law and jurisdiction provisions for the publisher relationship are being finalized with legal counsel and will be added to these Terms in a new document version. This section is intentionally cautious and does not create an exclusive jurisdiction clause.

Until a specific clause is published, the statutory rules applicable to the parties apply. Consumers, if any, retain the protection of mandatory provisions of the law of their habitual residence.
